The Senior Contracts Specialist is responsible for providing general contract creation, revision, and support for the effective execution of services nondisclosure agreements, master services agreements, statements of work, software licenses, maintenance and cloud subscription business.  This role requires close collaboration with sales, presales, finance, maintenance operations, executive management, and legal and compliance.  The primary responsibility is to support the company in preparation and completion of SAP and related software service implementation and support transactions. The Contracts Specialist will report to the NTT DATA Business Solutions Inc.’s (NDBS) Senior Corporate Counsel or Associate General Counsel.

Duties and Responsibilities: 

1. Create contract drafts from request forms including pricing, support terms and any additional special terms and drive internal/external review workflow and execution process via contract life cycle management tool, SharePoint, Docusign, and other software tools.

2. Draft, review, and modify resale and direct transactions for software licensing, cloud subscriptions, maintenance support contracts, conversions, terminations, assignments, amendments and exchanges through working with sales, finance, delivery, legal, and compliance.
3. Provide guidance to NDBS business and finance teams on contracting issues for non-standard or special terms and circumstances.
4. Work with various LOB leaders on the development and implementation of a contract lifecycle management software platform.  Role will require a steep learning curve on the functionality of this tool.
5. Work with NDBS maintenance support team to address client maintenance transfers, SAP certifications and other issues that may arise.   
6. Review and update contract templates periodically to address changes in the business, new business offerings and legal/regulatory requirements affecting the business on an ongoing basis.
7. Review, modify and negotiate non-disclosure agreements, and referral and business development agreements and services agreements, including client contracts.
8. Actively seek opportunities to improve contract templates, processes and tools for improved quality, speed, and accuracy; collaborate with colleagues to implement changes.

Position Requirements/Qualifications:

1. Bachelor’s degree; JD or paralegal certification preferred
2. 5 or more years of services-based transactional legal department experience
3. Client-facing negotiation experience
4. Comfortable interacting with executive leadership and presenting information at the highest levels of the organization.
5. Proficient in Microsoft Word, SharePoint, Excel and PowerPoint
6. Superior attention to detail
7. Excellent writing and verbal communication skills
8. Highly motivated with proven organizational, time management, planning and prioritizing skills within the high demands of a fast-paced environment
9. Advanced analytical skills with ability to independently spot issues and problem solve
10. Ability to collaborate and interact with all levels within the organization.
11. Ability to adhere and uphold company policies and ethics especially during contract negotiations and drafting.
12. Willingness and ability to work overtime during quarter end close.
